1. Agreement to Terms

By accessing and using Nexo Care ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily access the materials on Nexo Care's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on Nexo Care's website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. Service Description

Nexo Care provides a cloud-based software platform designed for elderly care centers to manage residents, staff, activities, billing, and other operational aspects. The Service is provided on a subscription basis and may include various features and functionalities as described in your subscription plan.

4. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Subscription and Payment

The Service is provided on a subscription basis. By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Understand that subscription fees are billed in advance on a monthly or annual basis
• Accept that subscription fees are non-refundable except as required by law
• Authorize automatic renewal of your subscription unless cancelled
• Accept that we may change our pricing with 30 days' notice

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information in accordance with our Privacy Policy. We take data security seriously and implement industry-standard measures to protect your information.

7. Acceptable Use

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach the Terms. Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination.

10. Disclaimer

The information on this website and in the Service is provided on an "as is" basis. To the fullest extent permitted by law, Nexo Care excludes all representations, warranties, and conditions relating to the Service and the use of this website. Nexo Care does not warrant that the Service will be available, uninterrupted, secure, or error-free.

11. Limitation of Liability

In no event shall Nexo Care, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Puerto Rico, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Puerto Rico.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
